ARTICLE 1 : ACCEPTATION ET APPLICATION DES CONDITIONS GENERALES DE VENTE

1.1 L'Acheteur reconnaît avoir pris connaissance des Conditions Générales de Vente du Vendeur et déclare les accepter comme faisant partie intégrante du Contrat. Le seul fait de passer commande ou d'accepter une offre du Vendeur comporte l'acceptation sans réserve des présentes Conditions Générales de Vente. 

Préalablement à cette date, les présentes conditions de vente ont été mises à la disposition de l’Acheteur, comme visé à l’article L.441-1 du code de commerce
1.2 Les présentes Conditions Générales de Vente s'appliquent de façon exclusive à toutes commandes, factures, ventes, et plus généralement à toutes relations commerciales et contractuelles, conclues par la Société ARTALYS.

1.3 L’Acheteur reconnaît avoir pris connaissance des informations fournies à l’utilisateur au titre des données à caractère personnel en application du règlement U 2016/679 du 27 Avril 2016 (RGPD) et la loi 78-17 du 6 Janvier 1998 (Charte RGPD)

ARTICLE 2 : COMMANDES

Le contrat de vente est ferme et définitif au moment de la réception de la commande transmise au Vendeur par l’Acheteur ou de tout autre support faisant état d’une commande. Elle devra faire l’objet d’une confirmation écrite du Vendeur.

ARTICLE 3 : PAIEMENT. Sauf autres modalités prévues expressément par les conditions particulières, le prix de ventes payable comptant à réception de la facture.

3.1 Les marchandises sont facturées au prix convenu au moment de la prise de la commande émise par l'acheteur et acceptée par le vendeur. 
3.2 Si une facture venue à échéance n'est pas réglée, le vendeur pourra exiger : 

a) le paiement immédiat de toutes les factures non échues. 
b) le paiement avant livraison de toute commande déjà acceptée. 
c) l'Acheteur sera de plein droit et sans formalité d'aucune sorte redevable d'une pénalité de retard de 1% par mois des sommes restant dues ainsi que de frais de gestion de recouvrement s'élevant à 15 €uros. 

3.3 Tout effet de commerce et chèque établi par l'Acheteur, en règlement des factures, revenu impayé pour le motif " défaut de provision ", après présentation à la banque du Vendeur, entraînera une indemnité forfaitaire de 40 €uros H.T. à titre de pénalité pour gestion du dossier.

3.4 Les commandes sont payables en euros, toutes taxes et contributions obligatoires comprises. Les éventuels frais bancaires restent à la charge de l’Acheteur.

ARTICLE 4 : CLAUSE DE RESERVE DE PROPRIETE

Le transfert de propriété des marchandises livrées à l'Acheteur n'interviendra qu'après paiement intégral du prix en principal et accessoire. Le paiement ne sera réputé acquis qu'après encaissement des sommes dues. L'inexécution par l'Acheteur de ses obligations de paiement, pour quelque cause que ce soit, confère au Vendeur le droit d'exiger la restitution immédiate des marchandises livrées aux frais, risques et périls de l'Acheteur. Ces conditions ne font pas obstacle au transfert, dès livraison, des risques des produits vendus.

L’acheteur s’engage jusqu’à complet paiement du prix, à peine de revendication immédiate des produits par le vendeur, à ne pas transformer les dits produits, ni à les revendre ou les mettre en gage.
L'Acheteur déclare accepter purement et simplement la clause de réserve de propriété et ses conséquences.

ARTICLE 5 : TRANSPORT ET LIVRAISON

5.1 Les frais de transports sont à la charge de l'acheteur.
5.2 Le délai de livraison n'est donné qu'à titre indicatif car étant tributaire de nos fabricants français et étrangers, tout retard dans nos livraisons ne donne pas droit à la réclamation de dommages et intérêts. En aucun cas le retard ne peut entraîner la résiliation de la commande. Le Vendeur sera libéré de toute obligation de livraison pour tout cas de force majeure. 
5.3 La livraison est effectuée soit par remise directe à l'Acheteur, soit par avis de mise à disposition, soit par remise des marchandises à un transporteur. Dès la livraison des marchandises, les risques seront à la charge de l'acquéreur. 
5.4 Le Vendeur est autorisé à procéder à des livraisons partielles. Toute livraison partielle acceptée par l'Acheteur est facturable dès livraison. 
5.5 En cas de perte, substitution ou avarie, liée au transport, l'Acheteur doit en informer le transporteur dans le délai légal de trois jours, par lettre recommandée avec accusé de réception ou par acte extrajudiciaire, en application de l'article L 133-3 du code de commerce. Une copie de la lettre adressée au transporteur devra être adressée au Vendeur, ainsi que les réserves mentionnées sur le bon de transport.

ARTICLE 6 : RECEPTION DU MATERIEL

6.1 A la réception des marchandises l'Acheteur doit immédiatement vérifier leur état et leur conformité par rapport au contrat.

Si aucune réclamation ni réserve n’est formulée à ce titre par l’Acheteur au jour de la réception des produits, lesdits produits ne pourront plus être ni repris ni échangés, en application des dispositions de l’article 1642 du Code civil.

6.2 Toutes les réclamations relatives à un défaut des marchandises livrées, à une inexactitude dans les quantités ou à une référence erronée par rapport à la commande passée ou à la confirmation de la commande par le Vendeur, doivent être formulées par écrit dans un délai de trois jours à réception des marchandises, sans négliger les recours contre le Transporteur.

6.3 Si l’acheteur est en retard pour la réception des marchandises, il sera tenu d’effectuer le paiement en respectant les délais et conditions fixés au préalable.

Si à la demande de l’acheteur ou par son fait, la livraison de marchandise est retardée, le stockage de celle-ci sera effectué à ses risques et à ses frais.

ARTICLE 7 : LITIGES/RECLAMATIONS

7.1 Tout litige lié à une non-conformité du bon de commande émis par l'acheteur ou un mauvais conseil du vendeur sur justification de l'engagement de sa responsabilité, doit faire l'objet d'une déclaration écrite de l'acheteur par lettre recommandée dans un délai de 3 jours suivant la livraison adressée à nos services " Relations Clientèle ". Passé ce délai, aucune contestation ne sera recevable. 
7.2 Le constat de litige émis par l'acheteur doit impérativement comporter les points suivants : 

- les références et désignations des produits concernés
- les quantités contestées 
- une explication détaillée de la réclamation 
- une copie de la facture litigieuse. 
7.3 Après analyse du bien-fondé de la réclamation, le vendeur acceptera ou refusera l'autorisation de retour. L'exécution est subordonnée à l'engagement écrit du client, dans le délai de sept jours à compter de la réception de l'autorisation de retour, sur l'état réputé neuf du matériel c'est-à-dire qu'il n'a subi aucune modification, qu'il est accompagné des manuels techniques, documentations, garanties, câbles et accessoires nécessaires à son utilisation propre, en ordre de marche et conditionné dans son emballage d'origine qui ne doit avoir
subi aucune dégradation quelconque (inscription de tout genre, déformation, etc.).

ARTICLE 8 : GARANTIE

Nos fournitures sont garanties 1 an contre tous vices de matières, fabrication ou fonctionnement pour autant qu’elles soient soumises à un emploi et entretien normaux. La garantie couvre uniquement le remplacement des pièces défectueuses. Les produits de fabrication AED bénéficient d’une garantie constructeur supplémentaire de 2ans, identiques aux conditions ci-dessus notifiées et d’une garantie supplémentaire constructeur optionnelle de 2 ans, selon la tarification en vigueur, qui couvre uniquement les pièces défectueuses du châssis à l’exception des pièces amovibles ou d’usures (roues, accessoires, charnières, couvercles, tiroirs, tringles…). Pour les produits livrés en kit et assemblés par le client, les garanties sont identiques aux conditions citées ci-dessus et couvrent seulement les structures. Les défauts et malfaçons liés au montage et assemblage ne sont pas pris en comptes et couverts par aucune garantie. Les garanties ne couvrent pas les frais de mains d’œuvre et de transport, et les frais de nuitées et de restauration lesquels sont toujours à la charge du client, conformément aux usages en matière de fabrication métalliques.

ARTICLE 9 : CLAUSE DE JURIDICTION

Tous différends relatifs au contrat conclu entre les parties, seront soumis exclusivement à la juridiction du Tribunal de Commerce de Nîmes.

ARTICLE 10 : Informatique & liberté – Gestion des données à caractère personnel

ARTALYS est respectueuse de la vie privée et protège les données à caractère personnel des utilisateurs du site des services qu’elle propose. La présente politique a notamment pour objet d’informer les utilisateurs du site des modalités de collecte, de traitement et d’utilisation de leurs données personnelles et de leurs droits en matière de protection des données à caractère personnel au regard des dispositions applicables en la matière, notamment la loi 78-17 du 6 janvier 1978 relative à l’informatique, aux fichiers et aux libertés dite « Informatique et libertés » et en application du règlement général sur la protection des données personnelles 2016/679  (RGPD) entré en vigueur le 25 Mai 2018.

Chaque partie garantit que le traitement des données personnelles dont elle est responsable est effectué conformément aux dispositions de la loi n°78-17 du 6 janvier 1978 relative à l'informatique, aux fichiers et aux libertés et conformément aux dispositions de l’article L 34-5 du code des postes et des communications électroniques.

ARTICLE 1 : ACCEPTANCE AND APPLICATION OF GENERAL TERMS AND CONDITIONS OF SALE

1.1 The Buyer acknowledges having read the Seller's General Terms and Conditions of Sale and declares accepting them as an integral part of the Contract. The mere act of placing an order or accepting an offer from the Seller implies the unconditional acceptance of these General Terms and Conditions of Sale.

Prior to this date, these sales conditions were made available to the Buyer, as provided for in Article L.441-1 of the Commercial Code.

1.2 These General Terms and Conditions of Sale apply exclusively to all orders, invoices, sales, and, more generally, to all commercial and contractual relationships entered into by the company ARTALYS.

1.3 The Buyer acknowledges having read the information provided to the user regarding personal data in accordance with Regulation U 2016/679 of April 27, 2016 (GDPR) and Law 78-17 of January 6, 1998 (GDPR Charter).

ARTICLE 2 : ORDERS

The sales contract is firm and definitive upon receipt of the order transmitted to the Seller by the Buyer or any other medium indicating an order. It must be confirmed in writing by the Seller.

ARTICLE 3 : PAYMENT

Unless otherwise expressly provided in the specific conditions, the sales price is payable at order.

3.1 The goods are invoiced at the agreed price at the time of the order placed by the buyer and accepted by the seller.

3.2 If an overdue invoice is not paid, the seller may demand:

a) immediate payment of all outstanding invoices.

b) payment before delivery of any previously accepted order.

c) The Buyer will be automatically and without any formality liable for a late payment penalty of 1% per month on the outstanding amounts, as well as collection management fees amounting to €15.

3.3 Any commercial paper and check issued by the Buyer, in payment of invoices, returned unpaid due to "insufficient funds," after presentation to the Seller's bank, will result in a fixed penalty of €40 excluding tax as a penalty for file management.

3.4 The orders are payable in euros, including all mandatory taxes and contributions. Any bank charges are the responsibility of the Buyer.

ARTICLE 4 : RETENTION OF TITLE CLAUSE

The transfer of ownership of the goods delivered to the Buyer shall only take place after full payment of the principal and ancillary price. Payment shall be deemed acquired only upon receipt of the sums due. The Buyer's failure to fulfill its payment obligations, for any reason whatsoever, gives the Seller the right to demand the immediate return of the goods delivered at the expense, risk, and peril of the Buyer. These conditions do not affect the transfer of risks of the sold products upon delivery.

Until full payment of the price, the buyer undertakes, under penalty of immediate repossession of the products by the seller, not to transform the said products, nor to resell or pledge them.

The Buyer declares to accept without reservation the retention of title clause and its consequences.

ARTICLE 5 : TRANSPORTATION AND DELIVERY

5.1 Transportation costs are the responsibility of the buyer.

5.2 The delivery time is given for information purposes only, as it depends on our French and foreign manufacturers. Any delay in our deliveries does not entitle to claim damages. Under no circumstances can the delay lead to the termination of the order. The Seller will be released from any obligation to deliver in the event of force majeure.

5.3 Delivery is made either by direct handover to the Buyer, by notice of availability, or by delivery of the goods to a carrier. Upon delivery of the goods, the risks shall be borne by the purchaser.

5.4 The Seller is authorized to make partial deliveries. Any accepted partial delivery by the Buyer is invoiced upon delivery.

5.5 In the event of loss, substitution, or damage related to transportation, the Buyer must inform the carrier within the legal period of three days, by registered letter with acknowledgment of receipt or by extrajudicial act, in accordance with Article L 133-3 of the Commercial Code. A copy of the letter addressed to the carrier must be sent to the Seller, along with any reservations mentioned on the transport document.

ARTICLE 6 : RECEIPT OF GOODS

6.1 Upon receipt of the goods, the Buyer must immediately verify their condition and conformity with the contract. If no claim or reservation is made by the Buyer regarding the products on the day of receipt, the said products cannot be returned or exchanged, in accordance with the provisions of Article 1642 of the Civil Code.

6.2 Any claims regarding a defect in the delivered goods, inaccuracies in quantities, or incorrect references in relation to the placed order or order confirmation by the Seller must be made in writing within three days of receiving the goods, without neglecting recourse against the Carrier.

6.3 If the buyer is delayed in receiving the goods, they will be required to make the payment in accordance with the previously agreed upon deadlines and conditions.

If, at the request of the buyer or due to their actions, the delivery of the merchandise is delayed, the storage of the goods will be carried out at the buyer's risk and expense.

ARTICLE 7 : DISPUTES/CLAIMS

7.1 Any dispute related to non-compliance with the purchase order issued by the buyer or incorrect advice provided by the seller regarding the justification of their liability must be declared in writing by the buyer via registered mail within a period of 3 days following delivery, addressed to our "Customer Relations" department. After this period, no claims will be admissible.

7.2 The dispute report issued by the buyer must include the following points :

-References and designations of the products in question

-Disputed quantities

-Detailed explanation of the claim

-Copy of the disputed invoice.

7.3 After analyzing the merits of the claim, the seller will accept or refuse the return authorization. The execution is subject to the written commitment of the customer, within seven days of receiving the return authorization, that the equipment is in a new condition, meaning it has not undergone any modifications, is accompanied by technical manuals, documentation, warranties, cables, and accessories necessary for its proper use, is in working order, and is packaged in its original packaging, which should not have undergone any damage or alteration (any form of writing, deformation, etc.).

ARTICLE 8 : WARRANTY

Our supplies are guaranteed for 1 year against any defects in materials, manufacturing, or operation, provided they are subjected to normal use and maintenance. The warranty only covers the replacement of defective parts. AED-manufactured products benefit from an additional 2-year manufacturer's warranty, identical to the aforementioned conditions, and an optional additional 2-year manufacturer's warranty, according to the applicable pricing, which covers only defective parts of the chassis, excluding removable or wear parts (wheels, accessories, hinges, covers, drawers, rods, etc.). For products delivered in kit form and assembled by the customer, the warranties are identical to the conditions mentioned above and only cover the structures. Defects and flaws related to assembly and installation are not covered by any warranty. The warranties do not cover labor and transportation costs, as well as overnight stays and meals, which are always the responsibility of the customer, following the practices in the metal manufacturing industry.

ARTICLE 9 : JURISDICTION CLAUSE

Any disputes related to the contract concluded between the parties will be exclusively subject to the jurisdiction of the Commercial Court of Nîmes.

ARTICLE 10 : INFORMATION TECHNOLOGY & PRIVACY - MANAGEMENT OF PERSONAL DATA

ARTALYS respects privacy and protects the personal data of users of its website and the services it offers. The purpose of this policy is to inform users of the website about the methods of collection, processing, and use of their personal data, as well as their rights regarding the protection of personal data under applicable provisions, including the Law 78-17 of January 6, 1978, relating to information technology, files, and freedoms, commonly known as the "Data Protection Act," and the General Data Protection Regulation 2016/679 (GDPR) which came into effect on May 25, 2018.
